Car Rental Agreement

INTRODUCTION

 

This Car Rental Agreement ("Agreement") is entered into and becomes effective as of the booking date indicated in the booking details on the Baecars application and website (the “Effective Date”).

 

BETWEEN:

The party referred to as the “Lessor” (hereinafter referred to as the "Car Owner"), including their heirs, executors, administrators, and assigns, as further identified in the App and on the website at the time of booking, OF THE FIRST PART.

 

AND

The party referred to as the “Lessee” (hereinafter referred to as the "Renter"), including their heirs, executors, administrators, and assigns, as captured in the booking details on the Baecars application and website. The Lessor and the Lessee shall collectively be referred to as the “Parties” and individually as a “Party.”

 

WHEREAS:

  • The Lessor, being the exclusive legal, beneficial, and registered owner of the Car (details of which are captured in the App/Website), acknowledges ownership of the said vehicle.
  • The Lessor has enlisted the Vehicle for rental on the Baecars Platform (defined below), and such listing is subject to the terms and conditions as specified therein.
  • The Lessee, a user of the Baecars Platform, expresses a desire to lease the Car from the Lessor, and the Lessor is agreeable to lease it to the Lessee under the terms and conditions outlined in this Agreement.

 

 

NOW, THEREFORE, IT IS AGREED as follows:

 

1. Definition and Interpretation

1.1 Applicable Laws: All applicable Indian statutes, enactments, acts of the state legislature or parliament, laws, ordinances, rules, bye-laws, regulations, notifications, guidelines, policies, directions, directives, and orders of any governmental authority, statutory authority, tribunal, board, court, as may be applicable. Without prejudice to the generality of the foregoing, Applicable Laws shall include laws, regulations, rules, and/or ordinances of lawfully constituted authorities relating to the possession, use, storage, and transport of the Vehicle, including the Motor Vehicles Act (MVA).

 

1.2 Motor Vehicles Act or MVA: Motor Vehicles Act, 1988, rules and regulations prescribed thereunder, as now enacted or as the same may from time to time be amended, replaced, or re-enacted.

 

1.3 Platform: Refers to the website and mobile application by the name and style of Baecars Host Services available on the website www.baecars.com, owned and operated by Baecars Private Limited. This includes its marketplace feature/section that provides a platform for connecting vehicle owners with persons interested in leasing vehicles for personal use.

 

1.4 Vehicle: Denotes the vehicle together with all its components, accessories, and devices as described in the booking details in the App.

 

1.5 Permitted Territory: The entire territory of India, excluding Union Ladakh and/or any travel to connected countries, including but not limited to Nepal, Bhutan, Bangladesh, or Pakistan, etc.

 

    1. In this Agreement, unless the context otherwise requires:

1.6.1 Headings used are for convenience and ease of reference only, are not part of this Agreement, and shall not be relevant to or affect the meaning or interpretation of this Agreement.

      1. Words denoted in any gender shall include all genders, and terms denoting people or persons shall include both natural and legal persons (such as a company) and vice versa.
      2. The terms of this Agreement shall be deemed to be binding on both Parties based on their respective conduct notwithstanding any error or defect in the execution of this Agreement.
      3. A reference to a clause or schedule is a reference to a clause of or schedule to this Agreement, and a reference to this Agreement includes any of its schedules. All schedules to this Agreement and the terms thereof shall be an integral part of this Agreement.

2. Agreement to Lease

 

2.1 In consideration of the covenants, assurances, and representations set forth herein by the Lessee, the Lessor hereby grants a lease, and the Lessee hereby accepts the lease of the Vehicle, subject to the terms and conditions outlined in this Agreement.

 

    1. The Lessee explicitly acknowledges and agrees that this Agreement constitutes a lease arrangement only. The absolute and unencumbered ownership of the Vehicle, for all intents and purposes, including compliance with regulatory requirements under the Motor Vehicles Act (MVA), shall unequivocally remain with the Lessor. Nothing articulated in this Agreement shall be interpreted as a transfer of any ownership right, title, or interest in the Vehicle to the Lessee, nor does it grant the Lessee the right to demand such a transfer. It is hereby clarified that throughout the Lease Term, the Lessee shall possess the Vehicle for beneficial use as a Lessee in accordance with the provisions of this Agreement.

 

    1. Throughout the Lease Term, the Lessee undertakes the role of a trustee for the Lessor concerning the Vehicle. At the Lessee's expense, the Lessee shall diligently protect and defend the Lessor's title to the Vehicle against any claims by creditors or third parties claiming through the Lessee. The Lessee's possession of the Vehicle is expressly understood to be in the capacity of a Lessee under this Agreement, and the Lessee acknowledges and respects the Lessor's continued ownership of the Vehicle.

 

 

3. Terms of Vehicle Usage

 

3.1 The Lessee hereby agrees and covenants that the Vehicle shall be used in a prudent and careful manner solely for the Lessee's personal use within the Permitted Territory and, to that extent, shall be driven only by the Lessee, in strict compliance with the requirements of the Applicable Laws (the “Permitted Use”).

 

3.2 The Lessee further agrees and acknowledges that other than the Permitted Use, all other uses of the Vehicle, including the usages listed below (by the Lessee and/or any other person(s) directly or indirectly acting through, authorized by, or on behalf of the Lessee), are strictly prohibited (the “Prohibited Uses”) and constitute a material breach of this Agreement:

      1. Commercial Use: For any purpose whatsoever, including usage for transportation services (goods and/or passengers) involving hire and/or reward.
      2. Driving Lessons: For providing driving lessons.
      3. Sports and Competitive Events: For sports, adventure, and/or participation in races, rallies, other competitive events, endurance tests, and similar events.
      4. Towing and Propelling: For towing, pushing, or propelling any trailer or any other vehicle.
      5. Illegal Activities: For the commission of any crime, illegal and/or unlawful activity(ies).

 

      1. Storage of Hazardous Goods: For storage of any combustible, noxious, or hazardous goods or any other goods which, owing to its weight and/or structure, adversely affect and/or damage the Vehicle, its interior, engine, and/or any of its parts thereto and/or any other vehicle(s), person(s)/object(s) in such a vehicle and/or pedestrian(s) passing the Vehicle.
      2. Outside Permitted Territory: Taking the Vehicle outside the Permitted Territory.
      3. Increased Risk of Damage: Any use(s) or activity(ies) that puts the Vehicle at a greater risk of damage.
      4. Contravention of Agreement: Any use that contravenes the terms and conditions of this Agreement, terms of the insurance relating to the Vehicle, and/or the requirements of all Applicable Laws.

 

4. Lease Term

 

    1. The lease of the Vehicle to the Lessee is effective from the Delivery Date and will continue until the booking end date specified in the app. The period, known as the "Lease Term," encompasses the agreed-upon duration for which the Lessee has possession of the Vehicle under this arrangement.

 

    1. Extension Possibility:

The Lease Term is open to extensions based on mutual agreement between the Lessor and the Lessee. Any extension will be subject to specific terms and conditions that both Parties must expressly approve. This flexibility allows for adjustments to the lease duration as needed by both parties involved in the agreement.

 

 

5. Vehicle Delivery Process

 

    1. Upon execution of this Agreement and upon the Lessee's payment of the Lease Rental through the Platform, the Lessor will inform the Lessee about the readiness of the Vehicle for delivery. The Lessee is required to receive the Vehicle at the location specified by the Lessor (referred to as the "Designated Location") along with the Vehicle Key(s) and copy of original Vehicle Documentation. The agreed-upon date for this delivery is aligned with the Booking Start Date indicated in the App.

 

    1. If the Lessee requests delivery to a specific address, the Lessor may opt to deliver the Vehicle to that location, subject to the applicable delivery charge mentioned in the Fee Policy on the Platform.

 

    1. For the security and monitoring of the Vehicle, the Lessor may install In-Vehicle Devices, which may undergo minor modifications over time. The Lessee agrees to grant access to the Vehicle for such modifications with reasonable notice.

 

    1. The Lessee must be physically present to [take]/ [receive] the Vehicle, provide the original driving license for inspection, submit copies of the license, a recent passport-sized photograph, and an additional address proof document (voter ID, Aadhar card, or valid passport). Signing necessary documents, such as the delivery receipt, is a crucial step, serving as evidence of the Vehicle's delivery and the Lessee's acceptance.

 

    1. Before taking delivery, the Lessee is required to inspect the Vehicle's exterior and interior, ensuring its condition, suitability for personal use, and compliance with safety standards. Any faults or defects discovered post-delivery will be addressed following the procedures outlined in Clause 11 (Addition, Maintenance, and Repair).

 

    1. Failure by the Lessee to take delivery on the Booking Start Date may result in additional charges as per the Fee Policy for subsequent delivery attempts. Regardless of such failures, the Lease Term shall commence from the Booking Start Date. In the event of repeated failure by either party to fulfill delivery obligations, the non-defaulting party reserves the right to terminate the Agreement per Clause 14.

 

 

6. Lease Rental and Payment Terms

  1. Advance Lease Rental:
      1. The Lessee shall deposit the Lease Rental in advance, as specified in the Fee Policy/booking details on the App, through the Platform upon the execution of this Agreement.
      2. This amount will be retained by the Platform until the Vehicle is returned to the Designated Location on the Booking End Date.
      3. In case of termination by the Lessee before taking delivery or refusal to accept delivery as per Clause 5, resulting in termination, any advance Lease Rental shall stand forfeited to compensate the Lessor for costs and losses incurred.
      4. Similarly, if the Lessor refuses or is unable to provide delivery in accordance with Clause 5, the Lessee is entitled to terminate, and the paid Lease Rental shall be promptly refunded.

 

    1. End of Agreement:

 

      1. Upon the expiration or earlier termination of this Agreement and the return of the Vehicle to the Lessor, provided all Lease Rental and other payable amounts are settled, the Lessee has fully performed all provisions of this Agreement.

 

    1. Components of Lease Rental:

 

      1. The Lessee agrees to pay the Lease Rental specified in the App at the time of booking through the Platform.
      2. Components of Lease Rental include charges for:
      3. Usage of the Vehicle up to the Agreed Mileage.
      4. Platform usage fees.
      5. Maintenance and repair costs.
      6. Insurance/trip protection charges.
      7. Delivery charges (if applicable).
      8. Excess mileage beyond the Agreed Mileage will be charged as per the Fee Policy.
      9. The difference between actual and Agreed Mileage will be settled at the end or termination of the Lease Term.

 

    1. Payment Responsibilities:

 

      1. Lessee is liable for outstanding Lease Rental or charges due to exceeding Agreed Mileage, as per the Fee Policy.
      2. Penalties or late payment charges may apply for prolonged default in clearing outstanding amounts.
      3. Lessee shall promptly reimburse Lessor for any payments made on their behalf related to the Vehicle, under this Agreement or otherwise, upon written notice and documentary proof from the Lessor. Alternatively, Lessor may set off such amounts against any payable amounts to the Lessee.

 

7 Liability for Theft and Accident

 

7.1 Lessee's Responsibility:

 

7.1.1 Financial Liability: Lessee is solely responsible for any damage, theft, or criminal activity related to the Vehicle, assuming financial liability, as specified in Clause 10 (Insurance).

 

7.2 Lessor's Disclaimer: The Lessor disclaims any liability for losses or damages arising from the aforementioned events and denies responsibility for indirect, incidental, special, or consequential damages linked to Vehicle use.

 

8 Reporting and Cooperation:

 

Notification: Lessee must notify the Platform and the Lessor in writing within [24] hours of damage, accident, or theft.

Cooperation: Full support and cooperation are required in reporting incidents to the nearest police station and following Lessor's instructions for repair.

Obligations in Case of Damage or Theft:

 

Complete Destruction/Loss: Lessee is liable to pay monthly Lease Rental until the insurance claim is settled. After payment, the Lessor reconciles accounts.

Partial or Repairable Damages: Lessee continues paying Lease Rental during repairs. Lessor may terminate the lease at its discretion, with Lessee settling outstanding dues.

Lessee's Liability:

 

Termination: Lessee cannot terminate the Agreement. If the Lease Term is ending, it will extend until insurance claims are settled or investigations conclude.

Failure to Fulfill Obligations: Lessee is solely liable for costs, damages, and consequences if obligations under Clause 8.2 are not met.

Outstanding Dues: Prompt settlement of unpaid dues, including Excess Mileage Charges, is required if the lease is terminated due to an accident or damage.

 

 

Traffic Violation and Confiscation

 

Traffic Violation Responsibility:

 

Compliance Obligation: Lessee is solely responsible for Vehicle use in accordance with traffic rules, toll payment, and compliance with Applicable Laws during the Lease Term.

Liability for Violations: Lessee is solely liable for all Traffic Violations, including fines, penalties, and charges imposed, such as late payment fees, toll evasion, interstate taxes, or processing fees by regulatory authorities.

Reporting and Payment:

 

Notification Requirement: Lessee must report all Traffic Violations to the Lessor in writing within 24 hours before the expiration of the period prescribed by Applicable Laws for necessary actions.

Timely Payment: Lessee must promptly pay relevant fines to the concerned authority and provide proof of payment. Failure may lead the Lessor to pay on behalf of the Lessee, with reimbursement required.

Confiscation Responsibility:

 

Lessee's Responsibility: Lessee is responsible if the Vehicle is confiscated, seized, or impounded during the Lease Term for reasons attributable to the Lessee ("Confiscation").

Reporting and Cooperation: Lessee must report Confiscation to the Lessor within 24 hours before the expiration of the period prescribed by Applicable Laws. Full support and cooperation are expected to release the Vehicle, and the Lessee shall bear all costs and expenses.

Lessor's Intervention:

 

Release Assistance: Lessor may assist in the release of the Vehicle from Confiscation, including payment of fines, charges, penalties, and fees imposed by relevant authorities.

Lessor's Right: If Lessee fails to provide support or cover release costs, Lessor has the right to take necessary steps at its own expense, and Lessee shall promptly reimburse all incurred costs.

Lease Term Extension:

 

Extension in Case of Confiscation: If Confiscation is ongoing near the Lease Term's expiration, it will extend as per this Agreement's terms.

Lessee's Termination Limitation: Lessee cannot terminate the Agreement until the Vehicle is released, fines/charges are settled, and conclusive evidence of matter resolution is received by the Lessor.

 

Insurance

 

  • The Lessor, at its own expense during the Lease Term and until the Vehicle is returned in good working condition, shall comprehensively insure the Vehicle with an insurance company of its choice (“Vehicle Insurance”).

 

  • The Vehicle Insurance will provide primary third-party liability protection, covering claims/liabilities to the extent covered by the Vehicle insurer for any/all claims and/or liabilities arising during the use or operation of the Vehicle by the Lessee.

 

  • However, this coverage excludes Own Damage, and the Lessee shall be responsible for any associated costs and charges directly/indirectly personally attributable to the Lessee's default under the terms of this Agreement. It is clarified that this third-party liability protection will not be applicable if the liability arises due to the negligence or breach of applicable terms by the Lessee under this Agreement.

 

  • The liability protection under the Vehicle Insurance applies only to claims of third-party bodily injury, death, or property damage, other than to the Vehicle, arising from the use of the Vehicle as permitted by this Agreement and Applicable Laws. This protection excludes any claims made by the Lessee, co-passenger, or their immediate family members permanently living with the Lessee or traveling with the Lessee at the time of the incident. This obligation may be limited to the extent the Vehicle Insurance's coverage applies. The Lessor shall, under no circumstances, be liable to the Lessee and/or the co-passenger(s) for any indirect, special, punitive, or consequential damages (including lost profits) arising from or related to the Vehicle, its use, or this Agreement.

 

  • In case of damage, theft, or destruction or any total or partial damage to the Vehicle during the Lease Term and until the return of the Vehicle to the Lessor in good working condition, subject to the Lessee fulfilling its obligations under Clause 8 above, the Lessee shall be liable for any costs incurred for rectification/repair of the Vehicle due to such damages.

 

  • In case of a total loss or theft, the Lessee shall promptly notify the Platform and the Lessor and assist the Lessor in filing a complaint (in case of theft) or invoking insurance claims by providing all required documentation and details of the accident or damages to ensure that the Lessor may effectively administer the claims from the insurance company. The Lessor's decision in this regard shall be final and binding on both Parties. In cases where the Lessor decides not to file the claim, repair expenses shall be borne by the Lessee, except in cases of theft, total loss, and/or situations where the Lessor is unable to claim insurance due to actions (or lack thereof) attributable to the Lessee.

 

  • The expenses associated with (a) any risks and ensuing damage to the Vehicle not fully covered by the Vehicle Insurance; (b) risks not borne by the Lessor herein shall be borne by the Lessee. Accordingly, the Lessee shall pay to the Lessor the amount of loss and/or damage not covered under the Vehicle Insurance and be liable for the following:

 

  • Damage to the Vehicle: The difference, if any, between the actual amount incurred in repairing the damage to the Vehicle and the amounts recovered/to be recovered under the Vehicle Insurance.
  • Theft/Total Loss of the Vehicle: (a) The shortfall between the claim amount received under the Vehicle Insurance and the book value of the Vehicle at the time of its theft/total loss; (b) if usage of the Vehicle at the time of its theft/total loss exceeds the Agreed Mileage, charge of the excess mileage incurred as per the rate specified in the Fee Policy; (c) other cost/expense incurred by the Lessor for or in respect of assessing loss suffered by the Vehicle and possibility of its restoration; and (d) other charges, if any, remaining unpaid by Lessee under this Agreement.
  • Notwithstanding the above, if the insurance claim for damages/loss to the Vehicle under the Vehicle Insurance is repudiated or not admitted by the insurance company due to mishandling/negligence/fault/rash driving/any other illegal and unlawful use of the Vehicle by the Lessee; or if any third-party claims are rejected due to negligence/misconduct/rash driving/other unlawful or illegal acts on the part of the Lessee causing irreparable damage, the Lessee shall be solely liable to incur all the related damages, losses, costs, and expenses.

 

 

 

 

Vehicle Maintenance and Repair

 

Routine Maintenance:

 

The Lessor, through its Authorized Service Provider, will conduct necessary routine maintenance on the Vehicle.

Upon Lessor's request, the Lessee must furnish Vehicle usage details to the Authorized Service Provider, covering Odometer readings, tire conditions, and battery status.

Any Odometer defects must be promptly reported by the Lessee to the Lessor to ensure accurate mileage recording.

Repair and Maintenance Responsibilities:

 

The Lessee is responsible for all repairs and maintenance of the Vehicle, subject to Insurance provisions in Clause 10, as per this Agreement.

Lessee must report any incidents requiring Vehicle repair to the Lessor, following Lessor's instructions and taking the Vehicle to an approved workshop.

In case of Agreement breach or improper Vehicle use, Lessee bears expenses for towing, repairs, and related costs.

Ownership of Replaced Parts:

 

All parts and accessories replaced or added to the Vehicle during the Lease Term remain the exclusive property of the Lessor.

Lessee holds no rights over these replaced or added components and is not entitled to compensation for them.

Note: Clause 8.2 requirements apply to the Lessee's obligations regarding incidents requiring Vehicle repair.

 

 

Lessee's Obligations

 

Vehicle Maintenance:

 

Maintain the cleanliness, condition, and appearance of the Vehicle at their expense.

Ensure the Vehicle remains in good operating condition as of the Lease Term commencement date.

Permitted Use and Restrictions:

 

Use the Vehicle only for Permitted Use and adhere to owner's manual instructions.

Strictly refrain from prohibited activities, imprudent use, or driving under the influence.

Not permit others to use the Vehicle or engage in activities affecting its value.

Adhere to usage restrictions like prohibited territory, mobile phone use, and transporting animals or excessive passengers.

Driving License and Notifications:

 

Maintain a valid driving license throughout the Lease Term.

Promptly notify the Lessor of any license expiration, suspension, revocation, or Traffic Violations.

Vehicle Control and Security:

 

Keep effective control of the Vehicle and secure it when not in use.

Secure the Vehicle from external factors while parked, following Applicable Laws and Lessor's instructions.

Compliance and Inspections:

 

Comply with the terms of the Agreement and Applicable Laws.

Allow inspections by the Lessor with reasonable notice.

Keep the Vehicle free from liens, claims, and encumbrances.

Insurance and Documentation:

 

Not invalidate Vehicle Insurance or trip protection plan/insurance.

Safeguard and maintain the Vehicle Documentation inside the Vehicle.

Representations and Warranties

 

Lessor:

 

Sole legal owner of the Vehicle.

Full legal right, capacity, power, and authority to execute this Agreement.

No actions or proceedings challenging the lease.

Lessee:

 

Above legal driving age with a valid license.

Full legal right, capacity, power, and authority to execute this Agreement.

No actions or proceedings challenging the transaction.

General Disclaimer:

 

Lessor provides no express or implied warranties regarding the Vehicle's fitness, safeness, design, merchantability, condition, quality, capacity, or workmanship, except as expressly stated in this Agreement.

 

Termination

 

Lessor's Right to Terminate:

 

Lessor may terminate the Agreement via Platform cancellation.

Lessee incurs charges for cancellation, detailed in the Fee Policy.

Lessor may terminate immediately with notice for various reasons during the Lease Term.

Consequences of Termination:

 

Lessee pays outstanding Lease Rental, late fees, and other charges upon termination.

Return of Vehicle triggers refund of advance Lease Rental, subject to adjustments.

Termination doesn't absolve Parties of prior obligations or liabilities.

Repossession/Return of Vehicle

 

Return Conditions:

 

Lessee returns the Vehicle to the Designated Location in its initial condition.

Costs for transporting the Vehicle from a different location are borne by the Lessee.

Late return incurs penalties and Lessor's repossession costs.

Vehicle Condition and Missing Parts:

 

Lessee liable for penalties if the Vehicle is damaged beyond normal wear and tear.

Missing key, key fob, in-Vehicle Devices, or other components result in penalties and inconvenience fees.

Excess mileage incurs charges as per the Fee Policy.

Additional Charges:

 

Charges apply for damages, replacements, and restoring the Vehicle to its original condition.

Lessee remains responsible for usage charges during any delay in return.

Lessee compensates for damages to Vehicle beyond the agreed mileage.

Documents and Regional Requirements:

 

Lessee signs required documents on return, per regional transport authorities.

Lessor assures Lessee won't be liable for claims post-Vehicle return.

Confidentiality

 

Information Exchange:

 

Both Parties share confidential information, committing to its protection.

Confidential data used only for Agreement-related purposes.

Survival of Confidentiality:

 

Obligation to not disclose confidential information survives Agreement termination.

Parties refrain from disclosing such information except as legally allowed.

Indemnity

 

Lessee's Indemnification:

 

Lessee indemnifies Lessor and Authorized Service Provider against costs, losses, and damages.

Indemnification extends beyond Agreement termination.

Waiver of Immunity:

 

Lessee waives any legal immunity from indemnifying Lessor under Applicable Laws.

 

Miscellaneous

 

Payment Processing:

 

All payments, including Lease Rental and Damage Protection Fee, will be made through the Platform as per specified payment policies.

Nature of Relationship:

 

This Agreement does not establish an association, partnership, joint venture, or corporation between the Parties.

Neither Party can sign agreements or act on behalf of the other without explicit consent.

Assignment and Delegation:

 

Lessee cannot assign rights or delegate duties under this Agreement without prior written consent from the Lessor.

Communication:

 

Written notices, demands, or communications under this Agreement must be delivered personally, via courier, or email to the specified addresses.

Limitation of Liability:

 

Lessor is not liable for any indirect, incidental, or consequential damages, including loss of profits, arising from this Agreement.

Entire Agreement:

 

This Agreement, including Schedules and referenced documents, is the sole agreement between the Parties, superseding any prior agreements.

Governing Law and Jurisdiction:

 

The Agreement is governed by Indian laws, with the courts of Bangalore having exclusive jurisdiction.

Parties agree to review and, if necessary, renegotiate the Agreement in case of changes in Applicable Laws.

Severability:

 

If any provision becomes illegal, invalid, or unenforceable, it won't affect the validity of other provisions.

Parties will negotiate in good faith to modify the Agreement while maintaining original intent.

Amendments:

 

Any amendments or modifications to the Agreement require written agreement and execution by duly authorized representatives of both Parties.

Tolerance and Waiver:

 

Tolerance for delays in performance doesn't constitute a waiver or amendment of any terms in this Agreement.

Execution and Counterparts:

 

The Agreement may be executed electronically and in multiple counterparts, binding all Parties collectively.

IN WITNESS WHEREOF, THE PARTIES HERETO HAVE CAUSED THIS AGREEMENT TO BE DULY EXECUTED.

 

 

 

 

 

 

 

Vehicle Maintenance and Safety Compliance Guidelines:

 

To ensure the safety, condition, and lawful operation of your vehicle, adhere to the following maintenance requirements:

 

Annual Vehicle Inspection:

 

Conduct a comprehensive mechanical and safety inspection at least once a year.

Inspection Components:

 

Include critical safety items in the inspection:
